End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”, “Company”, or “you”) and SalesGOAT (“Company”, “we”, “our”, or “us”) governing your use of the SalesGOAT website, applications, and services (collectively, the “Service”).
By accessing or using SalesGOAT, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.
1. License Grant
SalesGOAT grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business operations, subject to the terms of this Agreement.
You may use the Service to manage sales pipelines, payroll calculations, team performance, territory tracking, and related business functions.
2. Account Registration
To use certain features of the Service, you may be required to create an account. You agree to:
- Provide accurate and complete information
- Maintain the security of your login credentials
- Accept responsibility for all activity under your account
- Notify us immediately of unauthorized access
3. Permitted Use
You agree to use the Service only for lawful business purposes. You may not:
- Use the Service for illegal or fraudulent purposes
- Reverse engineer, decompile, or copy the software
- Interfere with the operation or security of the Service
- Attempt unauthorized access to other accounts or systems
- Resell or sublicense the Service without authorization
4. Subscription & Payment
Certain features of the Service require a paid subscription.
Pricing may be based on:
- Number of sales representatives
- Flat-rate company pricing
- Enterprise agreements
Fees are billed according to the pricing plan selected at the time of purchase.
Failure to pay subscription fees may result in suspension or termination of access.
5. Data Ownership
You retain ownership of all data entered into the Service, including:
- Sales pipeline data
- Payroll and commission structures
- Customer records
- Territory and canvassing data
You grant SalesGOAT permission to store, process, and transmit data as necessary to provide the Service.
6. Data Accuracy
SalesGOAT provides tools to automate commission calculations and payroll estimates. You are responsible for verifying accuracy before issuing payments.
SalesGOAT is not responsible for errors caused by incorrect contract configuration or user input.
7. Service Availability
We strive to maintain reliable service availability but do not guarantee uninterrupted operation.
The Service may be temporarily unavailable due to:
- Maintenance
- Updates
- Technical issues
- Events outside our control
8. Intellectual Property
SalesGOAT retains all rights, title, and interest in the software, including:
- Source code
- Design
- Features
- Logos and branding
You may not copy, distribute, or create derivative works without written permission.
9. Termination
We may suspend or terminate access if:
- You violate this Agreement
- Payment is overdue
- Use of the Service presents risk to our platform or other users
You may cancel your subscription at any time.
10. Limitation of Liability
To the maximum extent permitted by law, SalesGOAT shall not be liable for:
- Lost profits
- Lost business opportunities
- Payroll miscalculations
- Data loss
- Indirect or consequential damages
Total liability shall not exceed the amount paid for the Service in the preceding 12 months.
11. Disclaimer
The Service is provided “as is” without warranties of any kind, including:
- Fitness for a particular purpose
- Accuracy of calculations
- Availability without interruption
12. Modifications
We may update this Agreement from time to time.
Continued use of the Service constitutes acceptance of the updated terms.
13. Governing Law
This Agreement shall be governed by the laws of the United States, without regard to conflict of law principles.
